التوافق القانوني بين التزام الشركات المقيدة في البورصة بالأفصاح وحقها في الحفاظ على سرية المعلومات

يفرض المشرع العديد من الالتزامات القانونية التي تقع على عاتق الشركات المقيدة في سوق الأوراق المالية (البورصة)، ومن أهم هذه الالتزامات الإفصاح عن البيانات أو المعلومات الجوهرية للشركة، الذي يهدف إلى تمكين المستثمرين من الحصول على المعلومات الكافية لاتخاذ قراراتهم الاستثمارية. لا يعني هذا الالتزام أن الشركة تخلو من الحماية القانونية أو أن جميع معلوماتها تصبح متاحة للجميع، إذ تمتلك الشركة حقًا مشروعًا في حماية العديد من بياناتها، بما في ذلك الأسرار التجارية والمعلومات الداخلية، فالغاية من القانون ليست الإضرار بمصالح الشركة، بل إقامة توازن قانوني يحفظ حقوقها دون تعارض مع مصالح المستثمرين. وتبعًا لذلك ارتأينا من خلال هذا البحث دراسة التوافق القانوني بين التزام الشركات المقيدة في البورصة بالإفصاح وحقها في الحفاظ على سرية المعلومات، لما لهذا الموضوع من أهمية في حماية المستثمرين والسوق من جهة، والحفاظ على حقوق الشركة من جهة أخرى.
