The conflict of laws in foreign investment contracts refers to determining the applicable law when the contract is subject to more than one legal system, such as when the investor is foreign and the investment project is located within an Iraqi province. This issue becomes particularly important when a dispute arises between the contracting parties regarding the rights and obligations arising from the contract. The principle is that the parties to an investment contract have the freedom to choose the law governing the contract, a principle known as "freedom of contract." If the parties agree on a specific law, it must be applied unless it conflicts with public order or mandatory rules in the country where the investment is being implemented If no agreement exists on the applicable law, the judge or arbitration panel resorts to the rules of conflict of laws in private international law to determine the law most closely related to the contract, which is often the law of the country where the investment project is being implemented. Although a foreign law may be chosen, certain national rules relating to investment, taxation, the environment, labor, and security remain mandatory and apply within the province regardless of the chosen law, in order to protect the public interest. Therefore, conflict of laws in foreign investment contracts serves as a means of striking a balance between protecting the foreign investor and ensuring the state's sovereignty over investment activities within within the province.
